Job Description

Major Responsibilities

  • Ownership of the entire contract life cycle including, but not limited to, the review, negotiation and execution of commercial sales contracts, master purchasing agreements, distributor agreements, amendments, NDAs, and pricing;
  • Acts in capacity of operating company liaison with customer purchasing department to negotiate mutually acceptable terms and conditions when issuing new contracts;
  • Acts as advisor to sales, sales operations, finance, and other internal departments in identifying and summarizing legal risks in contracts;
  • Collaborates with multiple departments including sales, finance, legal, sales operations, and other cross functional groups on contractual issues and internal projects;
  • Ensures contracts meet legal, finance, compliance, and regulatory requirements per internal processes and procedures;
  • Draft, review, negotiate, amend and extend different contracts, including supplier agreements, customer agreements, leases, financing agreements, employment agreements, NDAs, goods and services agreements, and other documents as assigned by the company;
  • Identify and mitigate contractual and business risks in third party agreements and present findings to management;
  • Provide guidance on interpretation of language as required;
  • Update the company’s contract templates library;
  • Organize the company’s contract repository;
  • Assist management in overseeing contract management process;
  • Update and maintain department tools and contracting processes;
  • Record contract data based on the needs of the sales, finance & legal departments, and the business units responsible for fulfilling contract requirements;
  • Develop and generate reports;
  • Respond to inquiries or questions regarding contract administration;
  • Prepare, store, and retrieve company contracts and IP certificates;
  • Administration of IP portfolio (trademark, patents, and copyright);
  • Participation in Workplace investigations;
  • Previous compliance experience;

Requirements

  • Post secondary education;
  • 10+ years of commercial transaction experience, preferably including consumer goods and raw materials;
  • Proven record of success at a top law firm and/or in-house;
    Knowledge of intellectual property, FIFRA regulation, and contract issues;
  • Clever, passionate and driven with strong attention to detail and excellent verbal and written communication skills;
  • Ability to understand complex contractual issues, assess risk while exercising strong business judgment, and provide clear legal advice;
  • Experience advancing projects in a multi-stakeholder environment and handling and prioritizing multiple projects;
  • Experience with training staff and preparing presentation;
  • Experience with Common Law and Civil Law;
  • Possess tact, diplomacy and the ability to maintain a high level of confidentiality;
  • Proficiency with MS Excel, MS Word, MS Outlook, MS Powerpoint;
  • Ability to assess risk and escalate appropriately;
  • Must communicate in English, ability to communicate in Spanish and Portuguese an asset.

This position is located at 101 MacIntosh Blvd. in Concord, Ontario.

A hybrid work structure is available.

This is a full time, permanent position.

Pay range: $65,000 – $80,000
